Terms of Service

1. Services

Peppit Labs provides AI-driven revenue infrastructure services including but not limited to:

• Funnel design and software development
• AI automation and CRM middleware
• Email and SMS marketing systems
• Paid advertising management
• Dedicated video editing services
• Content creation and distribution

The specific services, deliverables, timelines, and fees for each engagement will be outlined in a separate Service Agreement or Statement of Work signed by both parties.

2. Payment Terms

Payment terms are outlined in the individual Service Agreement. General terms include:

• Invoices are due within 7 days of receipt unless otherwise agreed
• Late payments may incur a fee of 1.5% per month on outstanding balances
• We reserve the right to suspend services for accounts more than 14 days past due
• All fees are non-refundable unless otherwise stated in the Service Agreement
• Prices are subject to change with 30 days written notice

3. Intellectual Property

Your content

You retain ownership of all content, materials, and intellectual property you provide to us. By engaging our services, you grant us a limited licence to use your materials solely for the purpose of delivering the agreed services.

Our work product

Upon receipt of full payment, all custom deliverables created specifically for you become your property. We retain the right to use general methodologies, frameworks, and non-proprietary processes developed during the engagement.

Our intellectual property

All templates, systems, methodologies, tools, and proprietary processes developed by Peppit Labs remain our intellectual property. You may not reproduce, distribute, or create derivative works without our written consent.

4. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, client lists, pricing, technical systems, and any information marked as confidential.

This confidentiality obligation survives termination of the agreement for a period of two (2) years.

5. Client Responsibilities

To ensure successful delivery of our services, you agree to:

• Provide timely feedback, approvals, and required materials
• Designate a primary point of contact for the engagement
• Ensure all content provided does not infringe third-party rights
• Provide accurate information about your business and goals
• Pay invoices on time as agreed

Delays caused by failure to fulfil these responsibilities may affect timelines and are not the liability of Peppit Labs.

6. Limitation of Liability

To the maximum extent permitted by law, Scalability Gurus LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.

We do not guarantee specific results from our marketing, advertising, or growth services as outcomes depend on numerous factors beyond our control.

7. Termination

Either party may terminate the engagement with 30 days written notice. Upon termination:

• You will pay for all work completed up to the termination date
• We will deliver all completed work product to you
• Both parties will return or destroy confidential materials
• Any outstanding invoices become immediately due

We reserve the right to terminate immediately and without notice for breach of these Terms or non-payment.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. We do not warrant that our services will be error-free or that specific results will be achieved.

Our website and services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New Castle County, Delaware.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify existing clients of material changes with at least 30 days notice. Continued use of our services after changes constitutes acceptance of the updated Terms.

11. Entire Agreement

These Terms, together with any applicable Service Agreement, constitute the entire agreement between you and Scalability Gurus LLC regarding our services and supersede all prior agreements and understandings.
